1. ACCEPTANCE OF TERMS

Welcome to Echelon Clinical Research ("Echelon," "we," "us," or "our"). By accessing our website, submitting your information, or utilizing our services (collectively, the "Services"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS, INCLUDING A REQUIREMENT TO RESOLVE DISPUTES THROUGH INDIVIDUAL ARBITRATION AND A WAIVER OF YOUR RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS.

2. NATURE OF SERVICES & DEFINITIONS

2.1 The "Connector" Role

Echelon Clinical Research is a Digital Clinical Brokerage Agency. Our Services are strictly limited to identifying potential candidates for research opportunities and connecting them with third-party clinical research sites, hospitals, biobanks, or Principal Investigators ("Research Partners").

2.2 Definition of "Matching Opportunities"

To facilitate broad access to medical innovation, we match users with a wide variety of research programs. For the purposes of these Terms and your consent to be contacted, "Matching Opportunities" is defined to include, but is not limited to:

Interventional Clinical Trials: Studies involving investigational drugs, treatments, or medical devices.

Observational Studies: Research that monitors health outcomes without medical intervention.

Biospecimen Collection: Studies requiring the donation of biological samples (e.g., blood, saliva, tissue) for research and banking purposes.

Medical Surveys & Data Registries: Paid or unpaid participation in health-related data collection.

2.3 Not a Healthcare Provider

ECHELON IS NOT A MEDICAL PROVIDER. We do not provide medical advice, diagnosis, or treatment. We do not conduct clinical trials, administer medications, or oversee medical protocols. Our role is solely administrative and informational.

2.4 No Medical Advice

The content provided through our Services—including text, graphics, images, and communications from our agents (human or AI)—is for informational and recruitment purposes only.

DO NOT disregard professional medical advice or delay in seeking it because of something you have read on our site or heard from our agents.

DO NOT rely on our Services for medical decisions. Always seek the advice of your physician or other qualified health provider.

In an Emergency: If you think you may have a medical emergency, call your doctor or 911 immediately.

3. ELIGIBILITY AND USER ACCURACY

3.1 Age Requirement

The Services are intended for users who are eighteen (18) years of age or older. By using the Services, you represent and warrant that you are of legal age to form a binding contract.

3.2 Truthfulness and Anti-Fraud

You warrant that all information you provide to Echelon—including your medical history, demographic data, and contact information—is truthful, accurate, current, and complete.

Prohibition on Fraud: Providing false or misleading health information to qualify for paid studies is a material breach of these Terms.

Right to Terminate: Echelon reserves the right to immediately suspend or terminate your access and ban you from future Matching Opportunities if we suspect you have provided false information.

4. COMMUNICATIONS AND ARTIFICIAL INTELLIGENCE

4.1 Consent to Future Contact (Broad Scope)

By providing your contact information and agreeing to these Terms, you establish an ongoing business relationship with Echelon. You expressly consent to be contacted regarding current and future Matching Opportunities (as defined in Section 2.2) that may be relevant to your profile, even if they differ from the specific study you originally applied for.

4.2 Consent to Omni-Channel Communication

You agree to receive communications from Echelon and our Research Partners via email, telephone calls, SMS/text messages, and third-party messaging apps (e.g., WhatsApp).

4.3 Consent to Use of Artificial Intelligence (AI)

You explicitly acknowledge and agree that Echelon utilizes Artificial Intelligence (AI) and automated technologies to efficiently screen and schedule candidates. You consent to:

AI Voice Agents: Interactions with automated systems using synthetic or AI-generated voices for screening, scheduling, and notifications.

Chatbots: Communication with AI-driven chatbots on our website or via messaging apps.

Automated Dialing: Receipt of calls and texts initiated by automatic telephone dialing systems (ATDS).

Recording: The recording and analysis of these interactions for quality assurance, compliance, and training purposes.

5. NO GUARANTEES

5.1 No Guarantee of Enrollment

Echelon does not guarantee that you will qualify for any specific Matching Opportunity. Eligibility is determined solely by the inclusion/exclusion criteria set by the Research Partner and is subject to verification by their medical staff.

5.2 No Guarantee of Compensation

Any reference to "compensation," "stipends," or "payment" on our platform is an estimate provided by the Research Partner. Echelon does not pay participants. All financial compensation is handled directly by the Research Partner. We are not responsible for any non-payment, delay in payment, or dispute regarding compensation between you and the Research Partner.

6. RELEASE OF LIABILITY AND DISCLAIMERS

6.1 The "Brokerage" Shield

You acknowledge that Echelon has no control over, and assumes no responsibility for, the actual clinical trials, biospecimen collections, medical care provided, or the actions of the Research Partners.

6.2 Assumption of Risk

YOU HEREBY RELEASE ECHELON FROM ALL LIABILITY. By choosing to participate in any Matching Opportunity introduced by Echelon, you assume all risks associated with such participation. You agree that Echelon shall not be liable for any:

Physical or mental injury, illness, or health complications resulting from any clinical trial, sample collection, or medical treatment.

Side effects of experimental drugs or devices.

Negligence, misconduct, or malpractice by any Research Partner or medical professional.

Data breaches or privacy violations that occur on the systems of third-party Research Partners.

6.3 "As Is" Basis

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Echelon disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Echelon Clinical Research, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with:

Your access to or use of the Services.

Your violation of these Terms.

Your provision of false or misleading information.

Your participation in any Matching Opportunity.

8. DISPUTE RESOLUTION (ARBITRATION & CLASS ACTION WAIVER)

8.1 Mandatory Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be settled by binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. The arbitrator's decision shall be final and binding.

8.2 Class Action Waiver

YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT. You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. You may not join or consolidate claims with others or preside over any form of a representative or class proceeding.

8.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

9. INTELLECTUAL PROPERTY

All content, features, and functionality of the Services (including but not limited to text, logos, software, and design) are the exclusive property of Echelon Clinical Research and are protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our express written permission.

10. GENERAL PROVISIONS

Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Echelon regarding the Services.

Changes to Terms: We reserve the right to modify these Terms at any time. Your continued use of the Services following the posting of changes constitutes your acceptance of such changes.
